Section 1: Introduction

1.1 Agreement Overview

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User”, “you”) and APEC Trade (“Company”, “we”, “us”, or “our”). By accessing, browsing, or using any part of the APEC Trade platform, website, or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.

1.2 Scope of the Terms

These Terms govern your access to and use of:

The APEC Trade trading platform and website

APIs, mobile apps, and third-party integrations

Account registration and KYC/AML verification processes

All financial products and services offered by APEC Trade

Any communications, documents, or legal notices provided via the platform

Additional terms or policies (such as our Privacy Policy or Cookie Policy) may apply and are incorporated by reference. If there is a conflict between these Terms and other terms, these Terms shall prevail unless otherwise stated.

1.3 Legal Capacity

By using the Services, you represent and warrant that:

You are at least 18 years old or of legal age in your jurisdiction;

You have the legal capacity to enter into a binding contract;

You are not a person barred from using the Services under applicable laws or sanctions regimes.

APEC Trade may restrict access to users in certain jurisdictions where its Services are not permitted or regulated.

1.4 Amendments to the Terms

We reserve the right to modify or update these Terms at any time. Changes will take effect upon publication on our official platform, and your continued use of the Services after such changes constitutes acceptance of the updated Terms.

You are encouraged to review these Terms periodically to stay informed of your rights and obligations.

 

2. Eligibility and User Obligations

2.1 Eligibility Criteria

To access and use the APEC Trade Services, you must meet the following eligibility requirements:

You are at least 18 years old or the legal age of majority in your jurisdiction;

You are not subject to any applicable legal restrictions, financial sanctions, or blacklists, including but not limited to those imposed by the United Nations, OFAC (U.S. Office of Foreign Assets Control), or the European Union;

You are not located in, or a citizen or resident of, a jurisdiction where the use of our Services is prohibited by law or regulation;

You have full legal capacity to enter into and be bound by these Terms.

APEC Trade reserves the right to reject or suspend access to any user who fails to meet these requirements or is found to have provided false or misleading information during the registration process.

2.2 Individual and Institutional Users

APEC Trade provides Services to both individual and institutional users. Institutional accounts may be subject to enhanced due diligence (EDD) and additional documentation requirements. Authorized representatives of institutions must be duly empowered to act on behalf of the entity.

Users must notify APEC Trade of any changes to their legal status, authorization, or business ownership that may impact their eligibility or account permissions.

2.3 User Representations and Warranties

By using the Services, you represent and warrant that:

All information you provide is true, accurate, current, and complete;

You will promptly update your information if it changes;

You will not use the Services for any illegal, unethical, or unauthorized purpose;

You will comply with all applicable laws and regulations, including those related to anti-money laundering (AML), counter-terrorist financing (CTF), and tax reporting.

You acknowledge that your use of the Services is at your own risk and that you are solely responsible for understanding and complying with the legal and regulatory obligations applicable to you.

2.4 Know Your Customer (KYC) and Compliance Cooperation

As part of our legal obligations, APEC Trade may require you to undergo identity verification, provide additional documentation, or respond to due diligence inquiries at any time. Failure to comply may result in restrictions on your account or termination of your access.

You agree to cooperate fully with APEC Trade’s compliance processes and provide accurate and timely responses to any requests related to:

Identity and residency verification

Source of funds and risk profiling

Enhanced due diligence, where applicable

Ongoing monitoring and account review

2.5 Account Responsibility

You are fully responsible for all activities that occur under your account, whether or not authorized by you. You must:

Keep your login credentials secure and confidential

Immediately notify APEC Trade of any unauthorized access, suspected breach, or suspicious activity

Take appropriate precautions when accessing your account on public or shared devices

APEC Trade shall not be liable for any loss or damage arising from your failure to safeguard your credentials or comply with these obligations.

 

3. Account Registration and Verification

3.1 Registration Process

To use the Services, you must create an account on the APEC Trade platform. You agree to:

Provide accurate, current, and complete information during registration

Maintain and promptly update your information to keep it accurate and complete

Choose a strong and secure password and keep your login credentials confidential

APEC Trade reserves the right to refuse registration or close any account that violates these Terms or presents a risk to the platform.

3.2 Identity Verification (KYC)

To comply with applicable laws and regulations, including anti-money laundering (AML) and counter-terrorism financing (CTF) obligations, APEC Trade requires users to complete identity verification.

This may include:

Submitting government-issued identification documents (e.g., passport, ID card)

Providing proof of address (e.g., utility bill, bank statement)

Selfie or liveness verification

Biometric checks or live video verification (where applicable)

We may also conduct background screening and sanctions checks using third-party service providers.

You agree to provide true and complete information for verification and acknowledge that failure to do so may result in delayed access, limited functionality, or account termination.

3.3 Ongoing Verification and Monitoring

APEC Trade may request updated documentation or re-verification of identity at any time, particularly in the event of:

A change in account activity or behavior

Detection of potentially high-risk or unusual transactions

Periodic compliance reviews

Updates to local or international regulatory requirements

Failure to respond to verification requests may result in temporary suspension or permanent closure of your account.

3.4 Institutional Accounts

If you are registering on behalf of a legal entity, you must:

Be authorized to act on behalf of the entity

Provide documentation to verify the organization’s legal status and ownership structure

Submit authorized signatory and director verification

Undergo enhanced due diligence as required

APEC Trade reserves the right to impose additional requirements for corporate accounts based on jurisdiction, activity level, or risk rating.

3.5 Account Security

You are responsible for maintaining the security of your account. APEC Trade strongly recommends:

Enabling multi-factor authentication (MFA)

Regularly updating your password

Avoiding reuse of passwords across platforms

Monitoring login activity and immediately reporting unauthorized access

APEC Trade will never ask for your password or private keys. If you believe your account has been compromised, you must notify us immediately.

3.6 Account Suspension or Termination

APEC Trade may suspend, restrict, or terminate your account at its sole discretion if:

You breach these Terms or applicable laws

You provide false, misleading, or incomplete information

Your account is associated with suspected fraud or illegal activity

Required verification steps are not completed or fail

Where possible, we will notify you of the reason and allow time to address the issue. However, in urgent or high-risk cases, we may act without prior notice.

 

4. Platform Access and Usage

4.1 License to Use the Services

Subject to your compliance with these Terms, APEC Trade grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for lawful, personal, or authorized business purposes.

You may not sublicense, modify, adapt, translate, reverse engineer, or create derivative works from any part of the platform without prior written permission from APEC Trade.

4.2 Availability of Services

While we strive to provide continuous access, APEC Trade does not guarantee uninterrupted or error-free operation of the platform. Services may be temporarily unavailable due to:

System maintenance or upgrades

Network disruptions or outages

Emergency security incidents

External service provider failures

APEC Trade shall not be held liable for any delays, losses, or damages resulting from service interruptions, provided we take reasonable steps to resolve issues promptly.

4.3 Service Modifications and Updates

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including:

Adding or removing features or trading pairs

Changing interface elements or APIs

Updating system performance and security protocols

We may also issue periodic updates to improve functionality or comply with regulatory obligations. Continued use after such updates constitutes acceptance.

4.4 Account Access Controls

You are solely responsible for:

Maintaining secure access to your account and devices

Monitoring login history and activity logs

Using official APEC Trade software or tools (no unauthorized third-party applications)

APEC Trade may restrict access to your account under certain conditions, such as:

Security threats or suspicious activity

Court orders or regulatory requests

KYC or risk review triggers

4.5 Use of APIs and Automated Tools

APEC Trade may provide application programming interfaces (APIs) to allow advanced access to trading functions or data feeds. If you use our APIs, you agree to:

Abide by published rate limits and documentation

Not overload, disrupt, or abuse the platform infrastructure

Keep authentication credentials secure

Use APIs for permitted purposes only

Misuse of APIs may result in account suspension or permanent revocation of API access.

4.6 Platform Content and Intellectual Property

All content displayed on the platform—including logos, branding, charts, code, text, and graphics—is the exclusive property of APEC Trade or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, or republish any content from the platform without express written consent, except for personal, non-commercial use.

4.7 Feedback and Suggestions

You may voluntarily provide feedback, suggestions, or ideas to APEC Trade to improve the Services. By doing so, you acknowledge that:

Your submissions are non-confidential and non-proprietary

APEC Trade has the right to use, implement, and commercialize such feedback without any obligation to you

We appreciate your contributions to improving our platform and user experience.

 

 

5. Financial Transactions and Fees

5.1 Trading Services

APEC Trade provides access to various financial instruments and trading pairs via its platform, including but not limited to cryptocurrencies, fiat currencies, and digital assets.

By placing an order or executing a transaction on the platform, you agree to:

Be fully responsible for your trading activity and decisions

Review and understand the relevant market data, risks, and order types

Accept the execution price and fees applicable at the time of the trade

All executed trades are final and cannot be reversed unless required by law or due to a system error confirmed by APEC Trade.

5.2 Deposits and Withdrawals

You may deposit or withdraw supported digital or fiat assets through the methods provided by APEC Trade. You acknowledge that:

Deposits may require blockchain confirmations or third-party settlement delays

Withdrawals may be subject to identity verification and compliance screening

Fees may apply to deposits or withdrawals, as published on the platform

You are responsible for using the correct wallet addresses or account details

APEC Trade is not liable for loss of funds resulting from user error, such as incorrect wallet input or incompatible token transfers.

5.3 Fees and Charges

APEC Trade charges fees for certain transactions and platform services, including:

Trading fees (e.g., maker/taker model)

Deposit and withdrawal processing fees

API or premium service access (if applicable)

Fee schedules are clearly disclosed on the platform and may be updated from time to time at APEC Trade’s discretion.

By continuing to use the Services, you accept the current applicable fee structure.

5.4 Payment Methods

Fiat transactions may be supported through:

Bank transfers

Third-party payment providers

Other approved financial channels

You acknowledge that APEC Trade is not a bank or payment institution and that all fiat-related services are facilitated through regulated third-party partners.

Delays in settlement or service interruptions related to such third parties are beyond our direct control.

5.5 Chargebacks and Refunds

All transactions on the APEC Trade platform are considered final. We do not offer refunds or reversals unless:

Required by law

Initiated due to a verified system error

A duplicate payment or overcharge has occurred

We reserve the right to investigate all refund requests and deny them if abuse or fraud is suspected.

5.6 Taxes and Reporting

You are solely responsible for:

Determining your tax obligations related to trading or holding assets via APEC Trade

Reporting income, gains, or losses to your local tax authority

Maintaining accurate records for tax and audit purposes

APEC Trade does not provide tax advice and may issue transaction summaries or documents as a courtesy, not as a substitute for professional tax reporting.

5.7 Account Funding and Custody

Assets deposited to your APEC Trade account remain under your ownership, but APEC Trade may hold such funds in aggregated or custodial wallets for operational efficiency. APEC Trade maintains strict internal controls and separation of user assets from corporate funds.

We use third-party custody solutions for enhanced security, and you agree to those custodians’ terms where applicable.

 

 

6. Risk Disclosure and Disclaimers

6.1 General Risk Acknowledgment

By using the APEC Trade platform, you acknowledge that trading in digital assets, cryptocurrencies, and other financial instruments involves significant risk of loss. These markets can be volatile, unpredictable, and subject to rapid price movements, which may result in substantial gains or losses.

You confirm that you:

Fully understand the nature and risks of digital asset trading

Are capable of bearing the financial risks associated with your activities

Will not hold APEC Trade liable for market fluctuations or unfavorable outcomes

6.2 No Investment Advice

APEC Trade does not provide investment, tax, legal, or accounting advice. Any information made available through the platform, including charts, trading signals, research, or market commentary, is for informational purposes only.

You agree that:

All trades and investment decisions are made at your own discretion

You are solely responsible for evaluating the merits and risks before acting

APEC Trade and its representatives do not assume any responsibility for your financial outcomes

If you require advice, you should consult with a licensed financial advisor.

6.3 Technology and System Risks

You acknowledge and accept the risks associated with the use of online systems and technology, including but not limited to:

Delays or failures in communication, processing, or system access

Malicious attacks, data breaches, or cybersecurity incidents

Smart contract bugs or blockchain network vulnerabilities

Errors caused by third-party tools, wallets, or interfaces

APEC Trade employs best practices in security and system stability, but cannot guarantee complete protection from external threats or technical failures.

6.4 Regulatory Risks

The legal and regulatory status of digital assets varies by jurisdiction and is subject to change. APEC Trade does not guarantee the legal status or tax treatment of any asset or transaction.

You acknowledge that:

Regulatory developments may impact your ability to use the platform

New laws may impose restrictions, reporting obligations, or bans on certain assets or services

APEC Trade may be required to freeze, suspend, or terminate services in response to government directives or legal processes

 

You are responsible for understanding how applicable regulations affect your activities.

6.5 Asset Risks and Project Exposure

Some assets available on APEC Trade may be experimental, highly volatile, or subject to low liquidity. In such cases:

There may be limited or no recourse in the event of project failure or token devaluation

Tokens may be removed from listing at APEC Trade’s discretion for security or compliance reasons

No warranty is given regarding the functionality, stability, or value of listed tokens

APEC Trade does not endorse or guarantee any third-party project listed on its platform.

6.6 Limitation of Loss Recovery

To the fullest extent permitted by law:

APEC Trade shall not be liable for any indirect, incidental, consequential, punitive, or special damages

Total liability for direct damages shall be limited to the amount of fees paid by you to APEC Trade in the preceding 12 months

Any claim must be brought within 12 months of the event giving rise to the claim

This limitation applies regardless of the legal theory, including contract, tort, negligence, strict liability, or otherwise.

 

 

7. Intellectual Property Rights

7.1 Ownership of Content and Technology

All intellectual property rights in and to the Services, including but not limited to the website, platform interface, mobile applications, APIs, algorithms, databases, source code, branding, logos, graphics, designs, text, and all other content or components, are and shall remain the exclusive property of APEC Trade and its licensors.

Nothing in these Terms shall be construed as granting you any ownership or proprietary rights in the platform or its underlying technologies.

7.2 Limited Use License

APEC Trade grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform and Services solely for your personal or authorized institutional use, in accordance with these Terms.

You may not, without prior written consent:

Copy, reproduce, distribute, or modify any part of the platform or its content

Use automated tools (bots, crawlers, scrapers) to extract data

Reverse engineer, decompile, or attempt to derive the source code of any software

Use any trademarks, service marks, or brand identifiers without authorization

Create derivative works or use platform content for commercial purposes

Any unauthorized use will constitute a material breach of these Terms and may result in immediate account termination and legal action.

7.3 User-Generated Content

If you submit or upload any content to APEC Trade (e.g., feedback, support messages, API integrations, custom scripts, or other contributions), you grant APEC Trade a worldwide, royalty-free, perpetual, irrevocable license to use, modify, reproduce, and display such content for any lawful business purpose.

You represent and warrant that:

You have all necessary rights to grant this license

Your content does not infringe the rights of any third party

Your submissions are not confidential or proprietary

APEC Trade is not obligated to use, publish, or compensate you for any submissions.

7.4 Trademarks and Branding

The name APEC Trade, the APEC Trade logo, and all related marks, product names, domain names, and trade dress are the trademarks or registered trademarks of APEC Trade or its affiliates.

You may not use these trademarks in any way that could cause confusion or imply affiliation, sponsorship, or endorsement without express written permission.

All goodwill arising from any authorized use of APEC Trade’s trademarks shall inure solely to APEC Trade.

7.5 Third-Party Intellectual Property

Certain features of the platform may incorporate content, tools, or software licensed from third parties. All such third-party content remains the property of its respective owners and is subject to additional terms or restrictions as communicated.

Use of any open-source components or external APIs must comply with their respective licenses and is at your own risk.

 

8. Prohibited Activities

To maintain a secure, fair, and lawful environment, APEC Trade strictly prohibits the following activities on or in connection with its Services. Engaging in any of these activities may result in account suspension, termination, and potential legal action.

8.1 Illegal or Unauthorized Use

You agree not to use the Services for any purpose that is:

Unlawful under any applicable jurisdiction

In violation of regulatory, tax, or financial laws

Intended to conceal or launder proceeds from criminal activities

Related to the funding of terrorist organizations or other sanctioned entities

Intended to bypass sanctions, embargoes, or legal restrictions

8.2 Abuse of Platform or Infrastructure

The following technical abuses are strictly forbidden:

Introducing malware, viruses, trojans, or other harmful code

Conducting denial-of-service (DoS), distributed denial-of-service (DDoS), or brute-force attacks

Scraping, crawling, or using bots to extract platform data without permission

Attempting to gain unauthorized access to systems or user accounts

Using high-frequency trading bots that disrupt platform stability

8.3 Fraud and Misrepresentation

You may not:

Provide false, misleading, or deceptive information during registration or verification

Impersonate any person, entity, or falsely claim affiliation with APEC Trade

Forge headers or manipulate data to disguise origin or identity

Use stolen identities or financial information to access services

Engage in market manipulation, wash trading, spoofing, or pump-and-dump schemes

8.4 Violation of Intellectual Property Rights

You may not:

Infringe on APEC Trade’s or any third party’s copyrights, trademarks, or other IP rights

Distribute content without authorization

Use the platform or its branding for commercial use without prior consent

8.5 Interference with Platform Integrity

You are prohibited from:

Exploiting bugs or system vulnerabilities for financial or strategic gain

Testing the system’s security without express authorization

Reselling, sublicensing, or redistributing access to the platform or API

Operating or promoting mirror or clone versions of the platform

8.6 Unauthorized Commercial Activity

Unless explicitly authorized by APEC Trade, you may not:

Run an exchange, brokerage, or financial services operation using our infrastructure

Use the platform as a backend for third-party services or platforms

Solicit other users for off-platform transactions or services

8.7 Abuse of Referral, Rewards, or Promotions

You may not:

Create multiple accounts to exploit bonuses or promotional programs

Mislead others to join through fraudulent or misleading information

Use bots or automation to generate artificial referral traffic

APEC Trade reserves the right to revoke bonuses and permanently ban violators.

8.8 Harassment and Abuse of Others

You are prohibited from:

Harassing, threatening, or abusing APEC Trade employees or other users

Posting or sharing offensive, racist, or discriminatory content

Using the platform to spread misinformation or conduct social engineering campaigns

APEC Trade monitors for compliance and cooperates with law enforcement where necessary. Violations of this section may result in the immediate termination of your account, loss of access to funds, and potential legal prosecution.

 

9. Limitation of Liability and Indemnification

9.1 Limitation of Liability

To the maximum extent permitted by applicable law, APEC Trade and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any:

Indirect, incidental, special, punitive, or consequential damages

Loss of profits, revenue, data, business, or opportunities

Damages arising from errors, interruptions, delays, or system failures

Unauthorized access, loss, or alteration of your data or digital assets

Third-party conduct or services outside our reasonable control

This limitation applies regardless of the legal theory, including contract, tort (including negligence), strict liability, or otherwise—even if we were advised of the possibility of such damages.

9.2 Maximum Liability Cap

In no event shall the total aggregate liability of APEC Trade arising out of or relating to your use of the Services exceed the amount of fees you have paid to APEC Trade in the twelve (12) months preceding the event giving rise to the claim.

If you have paid no such fees, APEC Trade shall have no liability to you, except as otherwise required by law.

9.3 No Warranties

The Services are provided on an “as is” and “as available” basis, without warranties of any kind—either express, implied, or statutory—including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, or non-infringement

Any guarantee that the platform will be uninterrupted, timely, secure, or error-free

The accuracy, completeness, or reliability of any content, data, or information

You use the Services at your own risk and are solely responsible for evaluating their appropriateness for your needs.

9.4 Indemnification

You agree to defend, indemnify, and hold harmless APEC Trade and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use or misuse of the Services

Your violation of these Terms or any applicable laws

Your infringement of any intellectual property or other rights of any third party

Any disputes or issues between you and other users or third parties

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us in such defense.

 

 

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms of Service, and any dispute or claim arising out of or relating to them, shall be governed by and construed in accordance with the laws of the jurisdiction in which APEC Trade is legally incorporated, without regard to its conflict of law provisions.

You agree that you are solely responsible for complying with the laws applicable in your jurisdiction regarding the use of our Services.

10.2 Informal Resolution

Before initiating formal legal action, you agree to first contact APEC Trade and attempt to resolve any dispute informally and in good faith by providing written notice that describes the nature of the dispute and the desired outcome.

We will attempt to resolve disputes within thirty (30) days of receiving such notice. If no resolution is achieved, either party may proceed to arbitration or other applicable resolution methods.

10.3 Arbitration Agreement

If informal resolution fails, any legal dispute arising out of or relating to these Terms or the use of the Services shall be resolved through binding arbitration, except as otherwise stated below.

Arbitration shall be conducted in English, under the rules of a recognized arbitration body (e.g., the American Arbitration Association or similar).

The decision of the arbitrator shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

Each party shall bear its own costs unless otherwise awarded by the arbitrator.

 

By agreeing to arbitration, you waive your right to bring a lawsuit in court or to participate in a class action or jury trial.

 

10.4 Exceptions to Arbitration

Notwithstanding the above, APEC Trade reserves the right to seek injunctive or equitable relief in a court of competent jurisdiction in cases involving:

Actual or suspected intellectual property infringement

Unauthorized access to our systems

Breaches that may cause imminent and irreparable harm

Such action does not waive the right to arbitrate other claims.

10.5 Jurisdiction and Venue

If, for any reason, the arbitration agreement is found to be unenforceable, any legal proceedings shall be brought exclusively in the competent courts of the jurisdiction where APEC Trade is established.

You agree to submit to the personal jurisdiction of such courts and waive any objections to venue or forum.

10.6 Class Action Waiver

You agree that any claims or disputes must be brought individually, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Class actions and class arbitrations are not permitted.

10.7 Time Limit for Claims

Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action arises; otherwise, the claim is permanently barred.

10.8 Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal documents or notices provided through the platform, constitute the entire agreement between you and APEC Trade regarding the use of the Services and supersede any prior agreements or understandings.
